Atlanta Vendors Association, Inc. (AVA) Bylaws

Article One

Policy Statement
1.1 Mission and Purpose
1.1.1 Atlanta Vendors Association’s Mission Statement is to promote industry excellence by facilitating knowledge exchange, fostering professional development, advocating for legislative interests, and encouraging ethical conduct among its members.
1.1.2 The name of the organization shall be (Vendor Association Name) [The Association]
1.2 The purpose of the Association is to:
1.2.1 Promote and protect the interests of the vendors [specific market or industry]
1.2.3 Provide a platform for communication, education, and advocacy for vendors.
1.2.4 Ensure ethical practices and compliance with laws and regulations in the industry.
1.2.5 Foster community and networking among vendors and stakeholders.

Article Two

Offices And Regional Locations
2.1 Principal and Additional Offices
2.1.1 The principal office shall be located within the State of Georgia as determined by the Board of Directors.
2.1.2 Additional offices, regional centers, or virtual workspaces may be established, relocated, or closed by the Board to meet operational and member service needs.

Article Three

Membership
3.1 Membership Classifications and Eligibility
3.1.1 Membership is open to all qualified individuals and entities in specified categories approved by the Board.
3.1.2 Applications require submission of dues, processing fees, and Board approval.
3.1.3 Agree to abide by the Association’s Code of Ethics and Bylaws.
3.2 Vendor/Manager Memberships
3.2.1 Available to those providing goods or services within the vendor and property management industry in Georgia.
3.2.2 The Association may establish different categories of membership, including but not limited to Full Members and Honorary Members
3.2.3 Members must affiliate all their managed units/properties within designated Georgia counties with AVA.
3.3 Annual dues and assessments are required.
3.3.2 Dues, Assessments, and Terms
3.3.3 Prorated dues for mid-year joiners.
3.3.4 Delinquency occurs 30 days past due.
3.3.5 Default, Termination, and Reinstatement

Article Four

Rights And Duties Of Members
4.1 Annual Meeting must be attended, and participation in activities
4.1.1 Vote in elections, and on issues presented to the membership
4.1.2 Used for elections, reports, and policy decisions.
4.1.3 Comply with the Association’s Bylaws and policies.
4.1.4 Pay membership dues as determined by the Board of Directors.
 

Article Five

Termination Of Membership
5.1 Voluntary resignation by the member.
5.1.1 If the member violates the Bylaws or engages in unethical conduct.
5.1.2 Memberships terminate after 90 days of unpaid dues/assessments.
5.1.3 Reinstatement requires payment of back dues and fees, plus a reinstatement fee.
5.1.4 No refunds upon termination.
 

Article Six

Board Of Directors
6.1 The Board of Directors shall have overall control and responsibility for the affairs of the Association, including:
6.1.1 Setting Policies
6.1.2 Establishing membership dues and fees.
6.2 The Board shall consist of the President, Vice-President, Treasurer, and Secretary.
6.2.1 The President shall preside at all meetings of the Board and the membership, provide leadership, and represent the Association in external matters. The Vice-President shall assist the President and act in the President’s absence. The Treasurer shall oversee financial issues, including budgeting, recordkeeping, and reporting on the Association’s economic status. The Secretary shall maintain minutes of all meetings, ensure compliance with record-keeping practices, and handle official correspondence.
6.2.2 The Board manages Atlanta Vendors Association, Inc., affairs in compliance with the bylaws and law.
6.3 Terms and Vacancies
6.3.1 Terms begin January 1 post-election.
6.3.2 Vacancies filled by Board appointment until next election.
6.4 Notice, Attendance, and Quorum
6.4.1 Board meeting notice requirements and quorum as majority.
6.5 Written Actions Without Meeting
6.5.1 Unanimous written consent may substitute for meetings.

Article Seven

Election And Term
7.1 Election and Qualifications
7.1.1 Directors shall be elected by membership at the Annual Meeting.
7.1.2 Each director shall serve for a term of [two to three] years.
7.2.1 The President or Vice President presides at meetings.
7.2.2 Treasurer supervises financial affairs and reports monthly.
7.3 Directors may be re-elected, but no director may serve for more than [X] consecutive terms.
7.4 Vacancies
7.4.1 Filled by Board appointment.

Article Eight

Notice Of Meetings
8.1 Members shall be given at least [X] days’ notice before any meeting.
8.1.1 The Board of Directors’ meeting shall meet at least [quarterly, biannually].

Article Nine

Code Of Ethics
9.1 Ethical Commitment
9.1.1 Members agree to uphold integrity, fair competition, education promotion, avoidance of deception, and industry reputation enhancement.
9.1.2 Violations may lead to disciplinary action or membership termination.
 

Article Ten

Amendments
10.1 These Bylaws may be amended by a two-thirds (2/3) vote of the members present at any annual or special meeting, provided that written notice of the proposed amendments is given to all members at least [X] days in advance.
 

Article Eleven

Miscellaneous
11.1 Corporate Seal (if applicable)
11.1.1 The Board shall adopt and maintain the corporate seal, held by the Secretary.
11.2 Appointment of President
11.2.1 The Executive Committee may appoint a President as operational advisor.
 

Certification
