Atlanta Vendor’s Association, Inc (AVA)

1. Membership Eligibility and Conduct

Membership is open to vendors, suppliers, and contractors who agree to uphold professional and ethical standards in all business interactions. Members must comply with applicable laws, local regulations, and AVA’s guidelines, including those outlined in the Do Not Service Directory. Atlanta Vendors Association, Inc., reserves the right to review, suspend, or revoke membership for conduct deemed harmful, fraudulent, or dishonest toward other members, clients, or the broader business community.

2. Use of the Do Not Service Directory

The Do Not Service (DNS) Directory is provided to help members identify companies or individuals deemed high-risk or unsuitable for business relationships within AVA. Each member is responsible for using the DNS Directory to assess risk and make informed decisions. Recommendations to avoid service are not legal judgments but advisory and informational resources based on reported experiences. Members may submit additions to the directory by providing information and supporting documentation. AVA staff will review all submissions for accuracy and relevance. Misuse or abuse of the directory, including false or malicious submissions, may result in disciplinary action, including termination of membership.

3. Data, Privacy, and Security

Members are required to keep all directory and association information confidential and use it only for legitimate business purposes related to AVA activities. AVA protects personal and business information in accordance with local privacy laws. Only authorized AVA staff and members may access sensitive data as necessary for association functions. Information from the Do Not Service (DNS) Directory is shared solely within AVA and will not be distributed outside the association without member consent, unless required by law. Members must keep their login information safe and notify AVA promptly if they suspect unauthorized access. Atlanta Vendors Association, Inc., collects only the information necessary to verify vendors, support compliance, and maintain member directories. Data will not be sold, shared, or used for any non-AVA purpose unless the member expressly consents or if disclosure is legally required. Members may request to review, correct, or delete their personal data at any time, consistent with local privacy regulations.

4. Disclaimer and Limitation of Liability

Atlanta Vendors Association, Inc., endeavors to maintain current, accurate information, but does not guarantee completeness or correctness of all listings. AVA is not liable for any direct or indirect loss, claim, or damage resulting from use of the DNS Directory or participation in association programs. Use of Atlanta Vendors Association, Inc., resources is at the member’s own risk. Members agree to hold AVA harmless for decisions made based on directory or website content.

5. Updates and Acceptance

These Terms & Conditions may be updated as needed. Notice of changes will be posted on the AVA website and communicated to members by email. Continued use of the website and membership resources constitutes acceptance of these terms.

6. Member Responsibilities

Members must maintain current business registration, permits, and insurance as required by law.​ Members are responsible for providing accurate business information, following AVA guidelines, and cooperating during audits or compliance reviews. Vendors must respect renewal deadlines, report changes affecting business status, and use AVA resources appropriately. Failure to meet legal, regulatory, or AVA requirements may result in suspension or termination of membership.

7. Dispute Resolution Process

Disputes between vendors or between vendors and Atlanta Vendors Association, Inc., will be resolved through binding arbitration per the Commercial Arbitration Rules of the American Arbitration Association, held in Atlanta, Georgia.​ The parties agree to engage in good-faith negotiations before initiating arbitration. Decisions of the arbitrator will be final and binding, covering compensatory awards, injunctions, and document production as needed.

8. Vendor Code of Conduct

Vendors should conduct business ethically, treating clients, fellow members, and AVA staff with respect and professionalism. Members must avoid conflicts of interest, dishonesty, or practices that could harm AVA’s reputation or community trust.​ Violations, including harassment, discrimination, or fraudulent activity, are grounds for disciplinary action or expulsion.

9. Refund and Cancellation Rules

Membership fees are non-refundable once paid, except where cancellation is requested within 7 days of initial payment and no AVA resources have been used. No refunds are granted for late renewals or partial membership periods.
